Job Purpose
The Legal/Company Secretary would advise and represent the organization and its clients in all legal matters.
He/ She would also ensure the company and its board of directors comply with relevant laws, rules, regulations and resolutions of both the Board and Annual General Meetings.
Job Description
- Monitor and identify legal risks in documentation and give guidance on the acceptable assumption of risk.
- Interpret laws, rulings and regulations for natural and juristic persons.
- Conduct legal research and gather evidence on behalf of the company where necessary.
- Draft and review contracts and other legal documents on behalf of the company.
- Review and ensure that appropriate approvals are in place before documents are executed.
- Explain the law and give legal advice to the board of the company.
- Offer legal representation at arbitration or mediation hearings.
- Draft, review and manage wills, trusts, estates, contracts and deeds on behalf of the company.
- Offer legal representation to company in court proceedings on civil or criminal matters.
- Maintain accurate case files, notes and reports.
- Negotiate cases to meet the needs of the company.
- Guide the chairman and the board of the company to ensure they operate in accordance with the laws of corporate governance.
- Support the chairman in ensuring the board functions efficiently and effectively
- Facilitate good communication between the board, committees, senior management and non-executive directors, and shareholders.
- Take responsibility for the administration of the company, for example: maintaining statutory books, including registers of members, directors, and secretaries, and shareholders with all their past and present shareholdings, organizing board meetings and annual general meetings, preparing agendas and taking minutes.
- File necessary documents with Corporate Affairs Commission, such as annual tax returns and audit reports and ensure statutory compliance of the company and regular updates of the company information and status on the company registration portal
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action
- Pay dividends and manage share option schemes and take a role in share issues, mergers and takeovers
- Arrange meetings for the Board of Directors, Management Committee and AGM as well as coordinate to ensure that all resolutions have been implemented and complied with the Company's Articles of Association.
- Provide support for Directors and Executives to attend training courses in their relevant areas.
- Inform Directors and Executives of any changes in regulations related to them.
- Preparing and keeping records of important documents of the Company
- Prepare, approve, sign and seal agreements leases, legal forms, and other official documents on the company's behalf when authorized by the broad of the directors or the executive responsible.
- Ensure proper documentation of books and registers of the company as required under the provisions of the Companies Law.
- Perform any other task assigned by the management.
Competencies Required
- A Bachelor’s degree in Law & BL.
- Membership of Nigerian bar association
- Minimum of 3-4 years’ experience on the role.
- Post graduate qualification (LLM) and other relevant certification would be an added advantage.
- Deep understanding of legal issues, corporate governance, and legal compliance
- Ability to work effectively under pressure and to manage competing priorities.
